Terms of Use Agreement

Welcome to R.A.V.I.D, a digital healthcare R.A.V.I.D. platform provided by R.A.V.I.D. LLC, a Limited Liability Corporation for in the State of Texas in the United States of America. These Terms of Use ("Terms") govern your access to and use of the R.A.V.I.D. platform, including its suite of services for genomic analysis, third-party AI-powered analysis and chat functionalities, and other related services (collectively, the "Services"). By accessing or using the R.A.V.I.D. platform, you agree to be bound by these Terms. If you do not agree, you may not use the R.A.V.I.D. platform or any of its features, functions, services and must immediately exit the R.A.V.I.D. platform and close all accounts that have been established by you or on your behalf.

1. Acceptance of Terms

By registering for, accessing, or using the R.A.V.I.D. platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. These Terms apply to all users, including but not limited to individuals, healthcare providers, healthcare professionals, academic centers, government agencies, organizations, research institutions or any entities accessing the R.A.V.I.D. platform ("Users" or "you").

2. Description of Services

The R.A.V.I.D. platform provides a suite of digital healthcare services, including but not limited to:

  • AI-Powered Analysis and Chat: Integration of third-party artificial intelligence agents to provide data analysis, insights, and interactive chat functionalities for any queries especially medical or broadly any queries that are related to healthcare.
  • Genomic Analysis Services: Algorithms, Scripts, Tools and Services for the search and analyzing of genomic data, including sequencing, displaying, interpretation and reporting.
  • Additional Services: Features such as storage, display, delivery, transfer, retrieval of any health data, the management of any health data, mobile data, personalized health insights, telehealth integrations, and other tools to support healthcare decision-making.

Additionally, and more specifically you as the user are therefore in Agreement with the Terms of Use but not limited to:

2.A. - My AI Agent - Terms of Use

By using this or any AI agent, product or service across the R.A.V.I.D. platform, you agree to these Terms of Use. You acknowledge that the AI is provided 'as is,' and we make no warranties regarding its accuracy, reliability, or suitability for any purpose. To the fullest extent permitted by law, we disclaim all liability for any damages, losses, or consequences arising from your use of this service. You use any AI agents, products or services at your own risk. Please refer to Permissions for additional setting features.

Age Declaration

I hereby declare that I am above the age of 18 years or I have my Legal Guardian's permission or I have Legal access of this account and I am using the AI Analysis features with the full knowledge of all the Privacy Risks entailed in using third party AI Agents and any or all information shared will be used to further training LLM or in other applications without my knowledge, permission & consent.

2.B. - My DNA - Terms of Use

The R.A.V.I.D. platform has been enabled to assist you with specific DNA/ Genome Analysis related Services, along with your clinician and/ or care provider.

However, as we are yet in the beta testing stage of the R.A.V.I.D. platform, we are constantly refining algorithms to return back a completed personalized DNA analysis from raw genome sequencing formats.

In line with best of className industry practices we deploy a combination of our own proprietary scripts to use the best industry approved tools and libraries along with the usage of a few critical computational and technological steps (aided by third party algorithms) to enable you to get your own individualized DNA analysis.

The R.A.V.I.D. platform or the company or its officers or technical staff take every care to deliver you your analysis, however we are not liable for any errors, technical glitches, or malfunctions that may occur for any of the genome analysis services represented or performed with the R.A.V.I.D. platform. Furthermore, to the extent there are any backdoors on any third-party vendors that we are unaware of, there is always a risk to having your genome data compromised, stolen or altered.

In knowing these RISKS, you are therefore explicitly giving us your permission to proceed with any Service you choose or collaborate with third party research organizations and or store your data, files on the R.A.V.I.D. platform and as such you have agreed to waive all rights to sue or seek legal remedies for any issues, including data theft, alteration, wrong or incomplete analysis or any misrepresentations.

2.C. - Medical Professional Consent

You hereby declare that you have the Consent from a Certified Clinician or Medical Professional to help oversee, guide and/ or offer you their professional counsel/ guidance/ services upon reviewing any of your records and/ or files after enabling My DNA and in using any of the AI feature on the R.A.V.I.D. platform. You are fully & wholly responsible for the validity of this Statement and Consent and relinquish any and all liabilities to all parties associated with My DNA and any of the AI Analysis features associated on the R.A.V.I.D. platform from any actions taken or not taken by you or your Certified Clinician or Medical Professional as a result of any analysis, files, reports or feature or content generated from any Services associated with My DNA on the R.A.V.I.D platform, its representations on the Dashboard or any of the AI features, analysis and any Services on the R.A.V.I.D. platform.

The R.A.V.I.D. platform and by extension any and all our third-party providers and vendors reserve the right to modify, suspend, or discontinue any part of any Services at any time on the R.A.V.I.D. platform, with or without notice.

3. Eligibility

To use the R.A.V.I.D. platform, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction.
  • Be a resident of a jurisdiction where the Services are legally available.
  • If acting on behalf of an organization or another individual, have the authority to bind that organization or the individual to these Terms.
  • Not be prohibited from using the Services under applicable law or regulation.

4. Account Registration and Security

  • Account Creation: To access any feature, function or Services on the R.A.V.I.D platform, you must create an account by providing accurate, complete, and up-to-date information. You agree to maintain the accuracy of your account information. Any deviation that is deemed an intention of not providing an accurate, complete, and up- to-date information will result in adverse consequences that you are responsible for and may also result in the immediate termination of your account.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials (e.g., username, password) and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.
  • Healthcare Provider Accounts: If you are a healthcare provider, you represent that you are duly licensed and authorized to practice in your jurisdiction and will comply with all applicable professional standards.

5. Use of the R.A.V.I.D. platform

5.A - Permitted Use

You may use the R.A.V.I.D. platform and Services solely for lawful purposes and in accordance with these Terms. You agree to:

  • Use the Services in compliance with all applicable laws, including but not limited to healthcare regulations (e.g., HIPAA, GDPR), data protection laws, and genomic data regulations.
  • Provide accurate and truthful information when using any of the features, functions and Services, particularly for any AI related analysis to include AI chat, genomic analysis and for all health-related functionalities.
  • Respect the intellectual property and privacy rights of others.

5.B - Prohibited Use

You may not:

  • Use the R.A.V.I.D. platform for any illegal, unauthorized, or unethical purpose.
  • Attempt to gain unauthorized access to the R.A.V.I.D. platform, its systems, or other Users' accounts.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code or algorithms of the R.A.V.I.D. platform or third-party AI agents.
  • Use the R.A.V.I.D. platform to transmit malicious code, viruses, or other harmful software.
  • Misrepresent your identity, disseminate or provide false information to the R.A.V.I.D. platform or to any other user on the R.A.V.I.D. platform
  • Use the Services to engage in activities that could harm the R.A.V.I.D. platform's reputation or operations.

6. Third-Party AI Agents

  • Integration: The R.A.V.I.D. platform integrates third-party AI agents for analysis and chat functionalities. These AI agents are provided by third-party vendors and are subject to their respective terms and limitations.
  • No Guarantee of Accuracy: While we strive to ensure the reliability of AI-powered features, we do not guarantee the accuracy, completeness, or appropriateness of AI- generated insights or responses. AI outputs are for informational purposes only and should not be relied upon for medical decision-making without consultation with a qualified healthcare professional.
  • Your Data: You are solely responsible for any data you share with the AI agent and by extension the third-party AI agents and their LLM. Your identity and all your data are at risk whenever you interact with any AI agent and when you interact with it, chat with or allow it to analyze and of your data, files or any information stored on the R.A.V.I.D. platform.
  • Liability: We are not liable for any errors, omissions, or consequences arising from your use of third-party AI agents on the R.A.V.I.D. platform.

7. Genomic Analysis Services

  • Accuracy and Limitations: Genomic analysis results are based on current scientific knowledge and available data. We do not guarantee the accuracy, completeness, or reliability of any results. Genomic analysis is not a substitute for professional medical advice, diagnosis, or treatment.
  • Data Submission: By submitting genomic or health-related data, you represent that you have the legal right to share such data and consent to its use in accordance with these Terms and our Privacy Policy.
  • Ownership of Results: You retain ownership of your genomic data, but you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze such data to provide the Services and improve the R.A.V.I.D. platform, subject to our Privacy Policy.
  • Collaboration of Data: By agreeing to collaborate with the R.A.V.I.D. platform you are specifically allowing us to search your stored files to permit any matching capabilities that may be requested by any third party such as any research institution or genomic institute or any government organization for research and or association studies. You are therefore specifically giving us the right to also transfer any genomic related information at no cost.

8. Privacy and Data Protection

  • Privacy Policy: Your use of the R.A.V.I.D. platform is subject to our Privacy Policy, which governs the collection, use, storage, and disclosure of your personal, DNA, genomic and health-related information.
  • Health Data: We implement reasonable safeguards to protect your health data in compliance with applicable laws e.g., Health Insurance Portability and Accountability Act (HIPAA), General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA). However, you acknowledge that no system is completely secure, and you use the R.A.V.I.D. platform at your own risk.
  • De-Identified Data: We may de-identify and aggregate your data for research, analytics, or improvement of the Services, in compliance with applicable laws.

9. Intellectual Property

  • Ownership: The R.A.V.I.D. platform, including its software, content, design, and trademarks, is owned by us or our licensors and is protected by intellectual property laws. Third-party AI agents, Third-party genomic related algorithms, scripts, tool kits and their associated technologies are owned by their respective providers.
  • Limited License: We grant you a non-exclusive, non-transferable, revocable license to use the R.A.V.I.D. platform and Services for personal or professional use, subject to these Terms.
  • User Content: You retain ownership of any content you submit to the R.A.V.I.D. platform (e.g., genomic data, health information). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display such content to provide the Services.

10. Fees and Payment

  • Subscription Fees: Certain Services may require a subscription or payment of fees, as outlined in your subscription plan. You agree to pay all applicable fees in a timely manner.
  • Third-Party Payment Processors: Payments may be processed by third-party providers, subject to their terms and conditions.
  • No Refunds: Unless otherwise required by law, all fees are non-refundable.

11. Disclaimers

  • No Medical Advice: The R.A.V.I.D. platform and Services, including AI-powered features such as AI Analysis and Chat, My DNA Services to include all aspects of genomic analysis, are not a substitute for professional medical advice, diagnosis, or treatment. Always consult a qualified healthcare provider for medical decisions.
  • As-Is Basis: The R.A.V.I.D. platform and Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Third-Party Services: We are not responsible for the performance, accuracy, or availability of third-party AI agents or other third-party services integrated with the R.A.V.I.D. platform.

12. Limitation of Liability

To the maximum extent permitted by law, R.A.V.I.D. LLC and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from your use of the R.A.V.I.D. platform or Services, even if advised of the possibility of such damages. Our total liability to you shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless R.A.V.I.D. LLC also known as RAVID LLC, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising from your use of the R.A.V.I.D. platform, violation of these Terms, or infringement of any third-party rights.

14. Termination

  • By You: You may terminate your account at any time by following the instructions on the R.A.V.I.D. platform.
  • By Us: We may suspend or terminate your access to the R.A.V.I.D. platform at our sole discretion, with or without notice, for reasons including but not limited to violation of these Terms, non-payment of fees, or suspected illegal activity.
  • Effect of Termination: Upon termination, your right to use the R.A.V.I.D. platform and Services will cease, and we may delete your account and data, subject to applicable law and our Privacy Policy.

15. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of the State of Texas in the United States of America, without regard to its conflict of laws principles.
  • Dispute Resolution: Any disputes arising from these Terms or your use of the R.A.V.I.D. platform shall be resolved through binding arbitration in the city of Austin within the State of Texas, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a className action lawsuit or className-wide arbitration.

16. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the R.A.V.I.D. platform OR via email. Your continued use of the R.A.V.I.D. platform after such changes constitutes your acceptance of the revised Terms.

17. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and R.A.V.I.D. LLC regarding the R.A.V.I.D. platform and Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
  • No Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
  • Assignment: You may NOT assign these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
